Terms of Service

Please read these terms carefully before using Verafi compliance software.

1. Acceptance of Terms

By accessing or using Verafi ("Service," "Platform," or "Software"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you or the entity you represent ("Customer," "you," or "your") and Verafi, Inc. ("Company," "we," "us," or "our").

If you do not agree to these Terms, you may not access or use the Service. By creating an account or using the Service, you represent that you have the authority to bind your organization to these Terms.

2. Service Description

What Verafi Provides

Verafi is a software-as-a-service (SaaS) platform that helps California employers:

  • Analyze employee timesheets and payroll data for potential meal and rest break violations
  • Calculate estimated PAGA exposure under California Labor Code
  • Generate compliance reports and identify high-risk periods
  • Track notice and cure periods for PAGA claims
  • Provide AI-assisted recommendations for compliance improvement

What Verafi Does NOT Provide

The Service is NOT:

  • Legal advice or legal representation
  • A substitute for consultation with qualified employment counsel
  • A guarantee of compliance or protection from legal claims
  • An audit service or compliance certification
  • A payroll or timekeeping system (we analyze data, not collect it)
3. Legal Services Disclaimer

Verafi is software, not a law firm. The Service, including all reports, recommendations, and analyses, is provided for informational purposes only and does not constitute legal advice.

No attorney-client relationship is created between you and Verafi, Inc. by using this Service. The software's analysis and recommendations should not be relied upon as legal advice or used as a substitute for consultation with qualified legal counsel.

California labor law is complex and subject to change. While we strive for accuracy, we make no warranties regarding the legal accuracy or completeness of the Service. You are responsible for consulting with your own legal counsel regarding compliance with PAGA, California Labor Code, and employment laws.

4. Account Registration & Access

Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Security

You agree to immediately notify us of any unauthorized access to your account. We strongly recommend enabling multi-factor authentication (MFA) for enhanced security.

5. User Responsibilities & Acceptable Use

You agree to:

  • Provide accurate and complete employee data for analysis
  • Comply with all applicable laws when using the Service
  • Use the Service only for your own internal business purposes
  • Maintain appropriate security measures for your account
  • Notify employees as required by privacy laws before uploading their data

You agree NOT to:

  • Share your account credentials with others
  • Use the Service for any unlawful purpose
  • Reverse engineer, decompile, or attempt to extract the source code
  • Upload malicious code, viruses, or harmful content
  • Interfere with or disrupt the Service or servers
  • Resell, sublicense, or transfer access to the Service
  • Use the Service to compete with Verafi
  • Scrape or systematically extract data from the platform
6. Data Ownership & Privacy

Your Data

You retain all ownership rights to the data you upload to the Service ("Customer Data"). By uploading data, you grant us a limited license to process, store, and analyze that data solely for the purpose of providing the Service to you.

Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

Data Accuracy

You are responsible for the accuracy and completeness of the data you provide. The quality of our analysis depends on the quality of your input data. We are not responsible for inaccurate results caused by incomplete or incorrect data uploads.

7. Payment Terms

Subscription Plans

Verafi offers monthly and annual subscription plans. Pricing is available on our website and subject to change with 30 days' notice to existing customers.

Billing

Subscription fees are billed in advance on a recurring basis. You authorize us to charge your payment method on file. If payment fails, we may suspend access to the Service until payment is received.

Refunds

We offer a 30-day money-back guarantee for new customers. After 30 days, subscription fees are non-refundable. You may cancel your subscription at any time, but no prorated refunds are provided for partial months.

Taxes

All fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, and other taxes.

8. Cancellation & Termination

Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

Termination by Us

We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees, or engage in fraudulent or illegal activity. We may also terminate the Service entirely with 90 days' notice.

Effect of Termination

Upon termination, your right to access the Service immediately ceases. We will retain your Customer Data for 30 days to allow you to export it, after which it will be permanently deleted unless retention is required by law.

9. Warranties & Disclaimers

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, error-free, or secure
  • The analysis or recommendations will be accurate or complete
  • The Service will meet your specific requirements
  • Any defects will be corrected
  • Use of the Service will result in compliance with applicable laws
10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL VERAFI, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Verafi, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any third-party rights
  • The data you upload to the Service
  • Any reliance on the Service's analysis or recommendations
12. Dispute Resolution & Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at legal@verafi.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Binding Arbitration

If informal resolution fails, any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or misuse of confidential information.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding (if not subject to arbitration) shall be brought exclusively in the state or federal courts located in San Francisco, California.

14. Changes to These Terms

We may modify these Terms at any time by posting the updated Terms on our website and sending notice to your registered email address. Changes become effective 30 days after posting, unless we specify a different date.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription before the effective date.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verafi regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
